These Terms of Use ("Terms") constitute a legally binding agreement between you, an individual end user ("you," "your"), and UNICGLOBAL ENGINEERING LTD ("Company," "we," "our," or "us"). They govern your use of all services offered by the Company, including our mobile applications, website, and related features (collectively, the "Services").
By registering an account or otherwise using the Services, you confirm your acceptance of these Terms and our Privacy Policy. If you do not agree to these Terms in full, you may not use the Services.
QRGate provides tools to generate static and dynamic QR codes, customize their design (colors, patterns, frames, logos), host dynamic redirect endpoints, and provide analytics to service owners. The Services are offered solely for individual and commercial purposes related to QR code generation and management.

To access certain features of the Services, you must create a user account. In doing so, you agree to:
Each user is permitted to register only one account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.
QRGate keeps a free-scan model by default: you can create unlimited QR codes at no cost, and each QR code includes 100 free successful scans. After the free scan limit is reached, redirects are paused until an active paid subscription exists.
Paid subscriptions unlock extended usage (including unlimited scans and premium web features such as analytics, dynamic editing and downloads). Subscription plans and prices are shown in the Services at checkout.
Web subscriptions are processed through Stripe. In-app subscriptions are processed through Apple App Store. By subscribing, you agree to the applicable pricing, billing cycle, and tax treatment displayed at purchase time.
Subscriptions renew automatically unless canceled before the next renewal date. Web subscriptions can be managed in your Billing cabinet; App Store subscriptions are managed in your Apple account settings.
For web subscriptions, you may cancel auto-renewal in the Billing cabinet or through our cancellation flow by email at /cancel-subscription. Cancellation stops future renewals while preserving access until the current paid period ends. Refund requests are reviewed based on applicable consumer law, anti-fraud checks, and service usage history.
For iOS subscriptions purchased through Apple, cancellation and refund requests are controlled by Apple. We cannot issue direct card refunds for App Store charges and do not have access to your full Apple payment instrument data.
You retain ownership of content you create using the Services (QR codes, designs, target URLs). By using the Services, you grant us a limited license to store and process such content solely to provide the Services.

All intellectual property rights in the Services, including software, design, trademarks, and content (excluding User Content), are owned by or licensed to UNICGLOBAL ENGINEERING LTD. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purposes.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
THE TOTAL AGGREGATE LIABILITY OF THE COMPANY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID FOR THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100.00), WHICHEVER IS GREATER.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
We aim to keep the Services available but do not guarantee uninterrupted operation. The Services may be temporarily unavailable due to scheduled maintenance, technical issues, or circumstances beyond our control. QR codes will redirect while free scans remain (100 per QR code) or while you have an active paid subscription.
We reserve the right to suspend or terminate your access to the Services at any time and for any reason, including but not limited to violation of these Terms. Upon termination:
You may voluntarily close your account by contacting support.
You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services or violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of Cyprus, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved in the competent courts of Cyprus.
We reserve the right to modify these Terms at any time. Changes will be posted on our platform and will take effect immediately upon posting. Continued use of the Services after such changes constitutes acceptance of the revised Terms.
